Foresight Autonomous Holdings (NASDAQ: FRSX) (TASE: FRSX) has entered into a definitive agreement with VisionWave Holdings (NASDAQ: VWAV) for a strategic equity investment of up to $17.5 million in VisionWave common stock, the companies announced. The investment reflects a post-investment valuation of approximately $34 million for Foresight. Under the agreement, VisionWave is expected to acquire a controlling 52% stake in Foresight through a two-stage transaction and gain representation on the company’s board of directors, subject to shareholder and regulatory approvals.

The partnership aims to combine Foresight’s visible light, infrared and neuromorphic sensing technologies with VisionWave’s artificial intelligence and radio frequency-based perception systems. This integration is intended to accelerate the development and commercialization of AI-enhanced perception platforms targeting defense and security applications, including counter-drone systems, tactical unmanned systems, border security and critical infrastructure monitoring. Both companies will continue operating as independent publicly traded entities.

Foresight develops advanced three-dimensional (3D) perception systems and cellular-based applications through its wholly owned subsidiaries. Its 3D perception systems include modules of automatic calibration and dense 3D point cloud that can be applied to markets such as automotive, defense, autonomous driving, agriculture, heavy industrial equipment and unmanned aerial vehicles (UAVs). Eye-Net Mobile, a subsidiary, develops next-generation vehicle-to-everything (V2X) collision prevention solutions and smart automotive systems to enhance road safety.

VisionWave brings AI and RF-based perception capabilities to the collaboration, which are critical for detecting and tracking objects in complex environments.
