Redwood AI Corp. (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has finalized its acquisition of all issued and outstanding shares of Quantum.IQ Technologies Inc., a Vancouver-based quantum cybersecurity firm. This strategic move expands Redwood's technology base with capabilities focused on cryptographic visibility, quantum-readiness assessment, and security infrastructure planning, addressing the imminent threat that quantum computing poses to current encryption standards.
The acquisition is a response to the growing concern that quantum computers, once fully realized, could break widely used encryption methods, jeopardizing data security across industries. Quantum.IQ's Post-Quantum Cryptography (PQC) platform is designed to help organizations assess and prepare their encryption systems for these future threats. It supports cryptographic asset discovery, Cryptographic Bill of Materials creation, standards alignment, vulnerability management, migration planning, continuous monitoring, and executive-level reporting. This suite of tools is particularly aimed at high-security organizations in government, defence, financial services, and critical infrastructure.
Under the terms of the deal, Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share. This includes 7,033,558 shares subject to staged escrow over 24 months and up to 7 million additional shares held in milestone escrow, tied to specific customer and revenue criteria. Additionally, 50,000 shares were issued as an administrative fee, and 100,000 shares as a finder's fee.
The integration of Quantum.IQ's technology is expected to enhance Redwood's existing artificial intelligence-driven chemistry R&D platform, which aims to accelerate drug discovery and development, and further defence and safety solutions. By adding quantum cybersecurity capabilities, Redwood is diversifying its offerings and positioning itself at the forefront of two critical technological frontiers: AI and quantum preparedness.
