Winners, Inc., (OTC: WNRS) through its wholly owned subsidiary Moneyline Sports, announced that the U.S. Securities and Exchange Commission (SEC) has qualified its Regulation A+ offering for up to $5,000,000. The offering provides an opportunity for both accredited and non-accredited investors to purchase common stock in the company, which operates at the intersection of sports, digital assets, and prediction markets.
The company’s flagship mobile platform, Mevu.com, launched in January 2026, serves as an innovative trading and execution platform for sports, digital assets, and equities contracts listed on Kalshi and Polymarket exchanges. Mevu aggregates and customizes prediction markets, offering users a single platform for trade execution. Winners Inc. plans to allocate the raised capital toward expanding its predictive market platforms, mobile applications, customer acquisition, and general working capital.
CEO B. Michael Friedman emphasized the importance of allowing a broad investor base to participate. “Rather than choosing traditional financing through venture capital or investment banks, and with valuations of Polymarket and Kalshi approaching 20 Billion, I believe new investors who do not have access to the bigger names or IPO process, our customers, vendors, influencers, brand ambassadors and community as a whole should be entitled to own stock,” Friedman stated.
The SEC qualified the offering statement on Form 1-A (File No. 024-12729) on April 24, 2026. Interested parties can obtain a complimentary copy of the offering circular by accessing the SEC website at https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&filenum=024-12729.
This development marks a significant milestone for Winners Inc. as it positions itself as one of the first public companies in the prediction markets sector. The announcement highlights the growing interest in prediction markets, with major platforms like Polymarket and Kalshi reaching high valuations. By enabling retail investors to participate, Winners Inc. aims to democratize access to this emerging sector.
The company’s technology-driven approach, combining artificial intelligence, blockchain, and predictive analytics, sets it apart in the competitive landscape. As the prediction market industry expands, Winners Inc. seeks to capitalize on the increasing demand for aggregated and customizable trading platforms.
This announcement underscores the broader trend of regulatory acceptance and mainstream adoption of prediction markets. The SEC’s qualification of the Regulation A+ offering signals confidence in the company’s business model and its potential to contribute to the sector’s growth.
